OkiOki Terms of Use

These Terms of Use constitute an agreement between 33REASONS NV, with its corporate address at Brouwersvliet 4 box 1 in 2000 Antwerp and registered with the Crossroad Bank for Enterprises under number 0718,718,233 (hereinafter '33REASONS') and you (hereinafter the 'user'), for the use of our mobile app 'OkiOki' (hereinafter the 'OkiOki app'). These Terms of Use govern access to and use of the OkiOki app by users and the information, software, photos, videos, texts, images, music, sounds, creative suggestions, posts, comments and other material in the app (hereinafter the 'information').

By checking the box 'I agree to the Terms of Use' or by installing, downloading, accessing or otherwise using the OkiOki app, you agree to be bound by these Terms of Use. If you do not agree to these Terms of Use, please do not click the 'I agree' box and do not install or use the OkiOki app.

You acknowledge and agree that the digital acceptance of these Terms of Use is deemed to be a valid electronic signature having the same legal value as an original wet ink paper document and a manually signed signature.

We reserve the right, at our sole discretion, to change, amend, add or remove these Terms of Use or any part of them at any time. Your rights under these Terms of Use are subject to the most recent version of these Terms of Use. You will be notified of changes to the Terms of Use by email or a pop-up, depending on the specific circumstances.

33REASONS is authorised as an account information service provider (payment service type 8) by the National Bank of Belgium, Boulevard de Berlaimont/Boulevard de Berlaimont/Berlaimontlaan 14, B-1000 Brussels (tel.: +32 2 221 21 11 - www.bnb.be) and is supervised by the National Bank of Belgium and the Federal Public Service for the Economy, SMEs, the Self-employed and Energy. 1. Services and registration

The OkiOki app is a mobile application available to users ages 18 years and older, registered with the Crossroads Bank for Enterprises and acting in the context of their professional activities.

The OkiOki app offers users a wide range of (financial) services. The services and functionalities of the OkiOki app may vary depending on the options you have selected. Some services are paid services. More details about the services and fees for services are available on our website https://www.OkiOki.be/.

Among other things, the services allow you to:

use Account Information Services (AIS) as defined in the PSD2 legislation, i.e. connect to your bank account and import your bank transactions into the OkiOki app;
add or upload new expenses, scan receipts and read relevant information in the OkiOki app;
categorise your expenses;
link receipts, invoices and accounting documents to transactions;
create and send sales invoices;
send documents and transaction data to your accountant;
receive feedback or request it from your accountant;

We would like to emphasise that the OkiOki app provides (financial) administrative assistance services, but the user is ultimately responsible for verification, validation and approval.

To use the OkiOki app, you must have an existing current account. This requires that you:

register as a user (either directly or through your accountant);
give your explicit consent to us to access your bank accounts, among other things; and
provide us with all necessary and correct information in a timely manner.

Only one account can be linked to one person and one email address. You must also ensure that this information is kept up to date. The user will not provide us with false or incorrect information about their identity or otherwise misrepresent their identity. If the user provides incorrect, incomplete or outdated information, we reserve the right to suspend or terminate the user’s account without prior notice.

Your password protects your user account. You should choose a secure password and avoid obvious combinations or passwords. You are solely responsible for your account activities and for maintaining the confidentiality and security of your password and any additional identifying information required to use the OkiOki app. You are not allowed to share your account details with others. You must notify us immediately if you become aware of any loss, theft or unauthorised use of your password or any other unauthorised use of your account information. If your username or password has been lost or stolen, or if you believe that third parties have gained unauthorised access to your account, please let us know and change your password immediately.

To open and use the OkiOki app, you need a functioning hardware system, internet access and a modern internet browser. The OkiOki app has been thoroughly tested with Google Chrome, Mozilla Firefox and Apple Safari in the latest three (3) versions.

2. Right of access and use

The OkiOki app is licenced to you, not sold. Unless stated otherwise, we grant you a non-exclusive, non-transferable, limited, revocable right to access, use, and display the OkiOki app and the information provided therein for your professional use (insofar as necessary for the management of the User's finances), provided that you fully comply with the provisions of these Terms of Use. All our rights not expressly granted under these Terms of Use remain unaffected.

You agree to take all appropriate measures to protect your own data and/or software from contamination by any viruses in the internet network. You should avoid using computers and mobile phones that are accessible to the public, taking into account the risks inherent in this type of access and, in particular, the possibility of compromising the security of your login details.

You are solely responsible for the use and application of an appropriate way of securing, protecting and securing your equipment and data. We strongly recommend that you:

use cryptographic means to protect your data from unauthorised access;
periodically back up your data;
update your software regularly and maintain an up-to-date antivirus program at all times.

You acknowledge that the OkiOki app contains Information protected by intellectual property rights, including but not limited to copyrights, database rights, patents, trademarks, designs, trade secrets, proprietary rights to know-how, confidential information, etc.

In all cases, 33REASONS is and remains the owner or licensee of these rights. In addition, all registered trademarks appearing on the OkiOki app are the property of their respective owners. Our commercial partners, suppliers, advertisers, sponsors, licensors, contractors and other third parties may also hold additional property rights in the information they make available on the OkiOki app.

3. OkiOki payment and payment terms

This section applies solely to OkiOki users (entrepreneurs) who pay their monthly OkiOki subscription plan by SEPA direct debit or credit card.

When registering for OkiOki, you enter your payment details, which are used to pay for OkiOki and its services. Below are the terms and conditions that apply to your subscription plan.

For all fee-based services, the user authorises monthly advance payments. The fees for the services are charged in advance for a period of one month. If the user fails to pay the fees due within the agreed period, the user will be considered in default without any notice of default being required, in which case:
1. The user can no longer use the OkiOki app;
2. 33REASONS has the right to disable access to and use of the OkiOki App remotely; and
3. 33REASONS also has the right to suspend its services and other obligations.
Some services have a free trial period (usually one month). If you subscribe to a free trial and have entered your payment details, this trial period will automatically convert to a paid subscription plan at the end of the period unless you indicate that you no longer wish to use these services. We will notify you seven days before the trial period ends, so you can cancel the subscription plan before it becomes a paid subscription plan.
If you do not notify us that you no longer wish to use the services after the free trial period, we have the right to deduct the amount of the paid subscription plan from your account, on the understanding that you have the right to decide to terminate your subscription to that paid service at any time, in accordance with the Terms of Use.
In some cases, you will need to enter your payment card details after the free trial period. If you do not enter your payment details in time, your subscription plan will be automatically terminated after the trial period. You then have one (1) month to enter your payment details and reactivate your subscription plan. After this period ends, your user account will be deleted, including all data we have stored.
You can cancel your subscription at any time on the 'subscription plan' page in the OkiOki app.

4. Prohibited uses

You acknowledge that the rights to the information are owned by 33REASONS (or its licensees) and, consequently, you may not make any changes, copy, sublicense, lease, sell, publish, send, adapt, improve, distribute, execute, reverse engineer all or part of the information, assign, disassemble, decompile, participate in the transfer or sale, create derivative works or exploit them in any manner whatsoever. When Information is downloaded to your device, you do not acquire any rights to such Information. Modifying the Information or using the information for any other purpose, including but not limited to using information in printed form or on a website, app or network computer environment, is strictly prohibited unless you have obtained our prior written consent. You also need our prior written consent to create a hyperlink to our website and/or OkiOki app.

You may not take any action that imposes an unreasonable or disproportionate load on the OkiOki app infrastructure (beyond the stated limits) or that attempts to impede the proper functioning of the OkiOki app.

You may not take any action with the intention of damaging the OkiOki app by means of viruses, 'worms', defects, 'Trojan horses', 'malware', 'spyware' or items of a destructive nature.

You may not use the OkiOki app in any manner that may harass, abuse, harass, threaten or otherwise harm any person or encourage any third party to do so.

You may not use the OkiOki app in any way or for any purpose that violates any law or other regulation (including, but not limited to, anti-money laundering regulations) or for the transmission of data that is illegal, fraudulent, defamatory, intimidating, intrusive or harmful to the privacy of third parties, or which contains viruses or infringes, or may infringe, the intellectual property rights or other rights of 33REASONS, its licensors or third parties.

You may not attempt to access any reserved or protected sections of the OkiOki app to which you have not been explicitly granted access.

5. Liability and indemnification

The OkiOki app and the information on the OkiOki app are for informational purposes only. You should be aware that neither 33REASONS nor any person acting on behalf of 33REASONS is responsible for your use of the OkiOki app and/or the information.

Neither 33REASONS nor any of our affiliates or any of our or their respective licensors, licensees, service providers or suppliers guarantee that the OkiOki app or any feature contained in it will operate uninterrupted or error-free nor that any defects will be remedied. You use the OkiOki app at your own risk.

33REASONS will make a reasonable effort to keep the OkiOki app operational. However, certain technical problems or maintenance activities may occasionally cause temporary interruptions. 33REASONS reserves the right to periodically and at any time, with or without notice, temporarily or permanently modify or discontinue the features and functions of the OkiOki app and this takes place without any liability to you for any interruption, modification or termination of the OkiOki app or any app feature or function.

You understand, agree and accept that 33REASONS is not obliged to maintain, support, upgrade or update the OkiOki app or to provide any specific information about the OkiOki app. 33REASONS and/or the owners of information may occasionally delete such information without prior notice, to the extent permitted by applicable law. This section applies to the extent permitted by law.

To the extent permitted by law, 33REASONS cannot be held liable for and does not provide any warranties or guarantees to users with respect to:

any damage resulting from technical problems encountered in the OkiOki app, in particular by viruses, interruption of the service, websites and/or apps of third parties to which the OkiOki app links or that link to the OkiOki app;
any damage to your IT infrastructure and any loss of information resulting from downloading elements of the OkiOki app. You are responsible for backing up your data and information;
any damage arising from your use of the OkiOki app, the primary cause of which is force majeure, or the acts or omissions of third parties that are not (solely and exclusively) within the control of 33REASONS;
insofar as this concerns financial information, all damage resulting from material errors in the data and information on the OkiOki app and insofar as the other sections are concerned, from any error in the data and information in the OkiOki app;
damage resulting from unclear documents, tickets, fonts that make legibility impossible or difficult;
damage resulting from errors you make when using the OkiOki app;
any damage resulting from your own assessment of the data and information in the OkiOki app;
the reliability, timeliness, quality, suitability, truth, availability, accuracy or completeness of the OkiOki app and related information;
the error-free and continuous use of the OkiOki app or its compatibility with other hardware, software, systems or data;
meeting the user’s requirements or expectations;
the accuracy, reliability and precision of the data stored.

33REASONS has the right to take all necessary measures, block or delete data, block access to the OkiOki app and/or suspend or terminate the licence in the event of a violation or suspected violation, without the user being entitled to any compensation.
Without prejudice to the above and to the maximum extent permitted by applicable law, 33REASONS cannot be held liable for delays, service interruptions and other problems inherent to the use of the internet and electronic communications or other systems beyond 33REASONS’ reasonable control.

These disclaimers apply to the extent permitted by law. The duration of all legally required guarantees, if any, is in any case limited to the statutory guarantee period.

You understand and agree that (to the extent permitted by law) we and our affiliates cannot be held liable for any direct, indirect, incidental, special, consequential or punitive damages or any other damages whatsoever, including but not limited to loss of profits, loss of business, loss of income, loss of data, losses arising from or caused by the loss, interruption or corruption of data, etc. If you are not satisfied with any part of the OkiOki app or any of these Terms of Use, your sole remedy is to stop using the OkiOki app.

The user accepts that if any of his or her actions in violation of these Terms of Use disrupts the operation of the OkiOki app or damages the OkiOki app, he or she must reimburse 33REASONS in full for all costs of repairing the affected systems, as well as for all damage, both direct and indirect (including but not limited to loss of profit, turnover, loss of customers and goodwill) suffered by 33REASONS as a result of such acts. In any event, the user indemnifies 33REASONS against all losses, costs and all possible damages of any kind whatsoever resulting from such actions.

You agree that, to the extent permitted by applicable law, your sole and exclusive remedy for resolving any problem or dissatisfaction with the OkiOki app is to delete your account and stop using the OkiOki app.

You agree to indemnify, defend and hold harmless 33REASONS and our officers, directors, employees, shareholders, agents and representatives against all claims, liability, damages and/or costs incurred by third parties (including, but not limited to, reasonable legal fees and expenses) arising from your improper use of the OkiOki app, your breach of these Terms of Use, or your infringement or the infringement or use by another User of your account in connection with the OkiOki app.

6. Information provided via the OkiOki app

The OkiOki app may contain information (including personalised tips) intended to inform the user about specific aspects of its operation,or regarding the user’s accounting or tax rights and obligations.

The documents and information in the OkiOki app and our website are for general informational purposes only. The information we provide is generic and is not intended to replace professional advice or judgement that can only be given by a professional advisor.

Although we endeavour to provide the OkiOki app with as accurate information as possible, we cannot guarantee the accuracy or completeness of the information in the OkiOki app and accept no liability for any loss or damage arising from the information on the OkiOki app or on our website.

If you notice an error or shortcoming in the information presented in the OkiOki app or on our website, you can report it to us by email to hello@okioki.be. However, we would like to point out that under no circumstances are we obliged to change this content in such case.

7. Links to third-party websites and/or applications

33REASONS may offer various types of links to other (third-party) websites and/or applications that are not owned, operated or controlled in whole or in part by 33REASONS. The links to such third-party websites and/or applications are provided for your convenience and informational purposes only.

The content of any of these third-party websites or applications is not under our control and if you decide to access such website or application, you do so at your own risk. The fact that we provide a link to a third-party website or application does not necessarily mean that we endorse, authorise or sponsor this website or application or that it is affiliated with us or a third party. Any reference to a third party’s products or services provided for your convenience and informational purposes does not imply endorsement or recommendation of such products or services by us.

In addition, websites or applications wholly or partly owned or operated by third parties may contain links to our website and/or applications. In principle, such a link cannot be provided without the prior written consent of 33REASONS. 33REASONS, however, does not have the ability, even with consent, to investigate the content of these websites and/or applications and has no influence or control over the content or other features of these websites and/or applications.

If you use the OkiOki app on a third-party device and/or platform, you are also bound by that third party’s terms and conditions of use when using the OkiOki app. You confirm that you have taken note of such general terms and conditions of use and that you accept them. If this is not the case, you may not use the OkiOki app on this device and/or platform.

8. Duration of contract and termination

These Terms of Use are entered into for an indefinite period and remain in force until your use of the OkiOki app is terminated or 33REASONS is discontinued. 33REASONS may terminate or suspend your access to the OkiOki app at any time with one month’s notice. You can terminate your account and use of the OkiOki app at any time with immediate effect. Unless otherwise required by law, the subscription plan will not be refunded for this reason and you will remain liable for the amounts due for the paid services.

33REASONS may, without prejudice to its other legal rights or under the Terms of Use, at its sole discretion, terminate or suspend the agreement with immediate effect, deny or restrict your access to the OkiOki app and/or the account at any time if you violate these Terms of Use, including in the event of your actual or suspected unauthorised use of the OkiOki app and/or information. If you or 33REASONS terminate your use of the OkiOki app or if 33REASONS suspends your access to the OkiOki app, you agree that 33REASONS cannot be held liable or be liable to you.

9. Data protection

33REASONS and the user must comply with all relevant laws and regulations relating to the protection of personal data. We will only use users’ personal data for the purposes for which we have this data at our disposal and in a manner consistent with these Terms of Use and our privacy policy.

10. Retention clause

If any provision of these Terms of Use is found to be invalid or unenforceable, the remainder of the Terms of Use remain in full force and effect.

11. Applicable law and jurisdiction

These Terms of Use are governed by and interpreted in accordance with Belgian law.
All disputes arising out of or in connection with these Terms of Use are subject to the exclusive jurisdiction of the competent courts of Antwerp, Belgium.
